QraOne Terms of Service

These Terms of Use (“Terms”) govern access to and use of QraOne (https://qraone.com/) including related websites, applications, software, documentation, and services (collectively, the “Services”), provided by QraOne (“QraOne”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. The Services

QraOne is a cloud-based electronic Quality Management System (eQMS) designed to support quality, regulatory, and compliance activities for medical devices, SaMD, IVD, pharmaceutical, and life-sciences organizations.

QraOne is a supporting software platform and does not provide regulatory approvals, certifications, or legal determinations.

2. Eligibility and Authority

You may use the Services only if:

  • You are at least 18 years old
  • You have the legal authority to bind the organization you represent
  • You comply with all applicable laws and regulations

If you use QraOne on behalf of an organization, that organization is responsible for your use.

3. Account Registration and Security

To access the Services, you must create an account and provide accurate, complete, and current information.

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities occurring under your account
  • Promptly notifying us of any unauthorized access

We are not responsible for losses resulting from compromised credentials.

4. License Grant

Subject to these Terms, QraOne grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use QraOne solely for your internal business purposes during the applicable subscription term.

All rights not expressly granted are reserved by QraOne.

5. Customer Content

5.1 Ownership

You retain all ownership rights to any data, documents, records, or other content you upload or generate within QraOne (“Customer Content”).

5.2 License to QraOne

You grant QraOne a limited license to host, process, transmit, and display Customer Content solely as necessary to provide, secure, and support the Services. QraOne does not claim ownership of Customer Content.

5.3 Responsibility for Content

You are solely responsible for:

  • The legality, accuracy, and completeness of Customer Content
  • Ensuring Customer Content complies with applicable regulations
  • Determining regulatory suitability and intended use

QraOne does not replace your regulatory, quality, or legal obligations.

6. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or attempt to extract source code
  • Circumvent or disable security features
  • Use the Services for unlawful or unauthorized purposes
  • Upload malicious code or interfere with platform integrity
  • Access data or accounts not belonging to you

Violation may result in immediate suspension or termination.

7. Fees and Payment

Certain Services require payment under a subscription or service agreement.

Unless otherwise agreed:

  • Fees are billed in advance
  • Fees are non-refundable
  • Failure to pay may result in suspension or termination

Pricing may change with prior notice.

8. Third-Party Services

The Services may integrate with or rely on third-party services (e.g., cloud hosting, analytics, payment processors).

QraOne is not responsible for third-party services and does not warrant their availability or performance.

8A. Use of AI Services

QraOne may offer optional artificial intelligence-enabled features (“AI Services”) as part of the Services. Use of the AI Services is entirely optional.

When you choose to use the AI Services, you acknowledge and agree that certain data or content you submit through such features may be shared with and processed by third-party artificial intelligence service providers, including large language model (LLM) providers, solely for the purpose of providing the requested AI functionality.

If you do not use the AI Services, your data will not be shared with any third-party AI or LLM providers.

Your use of the AI Services constitutes your consent to such processing in accordance with QraOne’s Privacy Policy. If you do not agree to these practices, you must refrain from using the AI Services.

9. Confidentiality

Each party agrees to protect the other party’s confidential information and use it solely for purposes related to the Services.

Confidentiality obligations survive termination.

10. Suspension and Termination

We may suspend or terminate access to the Services if:

  • These Terms are violated
  • Fees remain unpaid
  • Required by law, regulation, or security concerns

Upon termination:

  • Your license ends
  • Access to the Services ceases
  • Customer Content handling will follow contractual or legal requirements

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

To the maximum extent permitted by law, QraOne disclaims all warranties, including:

  • Fitness for a particular purpose
  • Regulatory acceptance or approval
  • Error-free or uninterrupted operation

Use of QraOne does not guarantee regulatory outcomes.

12. Limitation of Liability

To the maximum extent permitted by law:

  • QraOne shall not be liable for indirect, incidental, special, or consequential damages

13. Indemnification

You agree to indemnify and hold harmless QraOne from claims arising out of:

  • Your use of the Services
  • Customer Content
  • Violation of these Terms or applicable laws

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles.

Courts of the UAE shall have exclusive jurisdiction, unless otherwise agreed in writing.

15. Changes to These Terms

We may update these Terms from time to time.

Continued use of the Services after changes constitutes acceptance of the revised Terms.
